Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Orvanto's websites, marketplace, digital products, custom website services, accounts, and related features and services (collectively, the "Services").
By accessing or using the Services, creating an account, purchasing a product, requesting or accepting a quote, or otherwise using Orvanto, you agree to these Terms and any policies incorporated into them by reference.
If you do not agree to these Terms, you should not use the Services.
Eligibility
You may use the Services only if you are legally capable of entering into the applicable transaction or if a parent, legal guardian, or other person legally authorized to act for you approves and enters into the transaction where required by law.
If you use Orvanto on behalf of a business, organization, or other entity, you represent that you have authority to act on behalf of that entity and bind it to these Terms.
Accounts
Certain Orvanto features may require an account. You agree to provide accurate and current information when creating and maintaining your account.
You are responsible for maintaining the confidentiality of your login credentials and for activity performed through your account. You should notify Orvanto promptly if you believe your account has been accessed without authorization.
You may not impersonate another person, create an account using information you are not authorized to use, sell or transfer an account without permission, or use an account to engage in fraudulent or unlawful activity.
Orvanto may restrict or suspend access to an account when reasonably necessary to protect the Services, investigate suspected fraud or abuse, comply with legal obligations, or enforce these Terms.
Marketplace and Digital Products
Orvanto may offer website templates and other digital products through its marketplace. Product descriptions, previews, compatibility information, included features, and prices are displayed on the applicable product page.
A purchase gives you only the rights specifically provided under the applicable license. Purchasing a digital product does not transfer ownership of Orvanto's underlying intellectual property to you.
Product previews are intended to demonstrate the general design and functionality of a template. Content, images, fonts, integrations, third-party services, or other materials shown in a preview may not necessarily be included unless the product description states otherwise.
Orvanto may update, improve, discontinue, or change marketplace products and their pricing. Changes to future pricing do not alter the amount charged for an already completed purchase.
Custom Website Services
Orvanto may provide custom website design and development services based on individual project requirements.
Quote Requests
Information submitted through the Get a Quote form is a request for Orvanto to review a potential project. Submitting a quote request does not create a purchase obligation or require Orvanto to accept the project.
Budgets, requested features, page counts, and preferred completion dates submitted through a quote request are requests and project information only. They do not constitute a guaranteed price, scope, or completion date.
Quotes
After reviewing a request, Orvanto may provide a separate quote describing the proposed price, scope, timeline, payment requirements, and other relevant project terms.
A quote may have an expiration date. Unless otherwise stated, changes to the requested scope after a quote is accepted may require additional charges or a revised timeline.
Customer Responsibilities
Customers are responsible for providing requested content, information, approvals, credentials, and other materials reasonably necessary to complete their project.
Delays in receiving required materials, feedback, approvals, or access may result in changes to the project's estimated completion date.
Customers represent that they have the necessary rights and permissions to provide Orvanto with any text, images, logos, trademarks, files, data, or other materials supplied for use in a project.
Prices and Payments
Prices are displayed in the currency indicated at checkout or in the applicable quote. Unless otherwise stated, prices do not include taxes or other charges that may be required by law.
You agree to pay all amounts presented and authorized during checkout or otherwise agreed to as part of a custom project.
Payments may be processed using third-party payment processors. Orvanto may receive transaction identifiers, payment status information, payment-method information such as card brand and limited card details, and other information necessary to process and maintain transaction records.
Orvanto does not require customers to provide raw payment-card credentials directly for storage by Orvanto where payment information is handled through an authorized payment processor.
An order or project may be delayed, cancelled, or withheld if a payment is declined, reversed, disputed, determined to be fraudulent, or otherwise not successfully completed.
Refunds
Refund eligibility depends on the type of purchase and the circumstances of the transaction.
Digital template purchases and custom website services may be subject to different refund rules because digital products can be delivered immediately while custom services involve work performed specifically for an individual customer.
The applicable rules are described in Orvanto's Refund Policy.
Template Licenses
Purchasing an Orvanto template grants you a limited license to use the template according to the terms of the applicable license. It does not transfer ownership of the template, source design, Orvanto branding, or other underlying intellectual property.
Unless expressly permitted by the applicable license, you may not resell, redistribute, sublicense, publicly distribute, or offer an Orvanto template or its source files as a competing template or standalone product.
Additional license terms, including permitted commercial use and applicable restrictions, are described in the License Agreement.
Acceptable Use
You agree not to misuse Orvanto or interfere with the normal operation or security of the Services.
You may not use the Services to:
- Violate applicable laws or regulations.
- Commit or facilitate fraud.
- Attempt unauthorized access to accounts, servers, databases, or systems.
- Introduce malware, malicious code, or other harmful material.
- Interfere with or intentionally disrupt the Services.
- Misrepresent your identity or authority.
- Abuse payment, refund, chargeback, account, or download systems.
- Redistribute digital products in violation of their licenses.
- Use Orvanto intellectual property in a manner not authorized by these Terms or an applicable license.
Intellectual Property
Orvanto and its associated website designs, marketplace content, branding, logos, original templates, software, graphics, and other original materials are protected by applicable intellectual property laws.
Except for rights expressly granted through a purchase, license, custom project agreement, or these Terms, Orvanto retains its rights in its intellectual property.
Customers retain ownership of materials they provide to Orvanto, subject to any third-party rights that may apply. Customers grant Orvanto permission to use those materials as reasonably necessary to provide the requested Services.
Third-Party Services
Orvanto websites, templates, and custom projects may interact with third-party products or services, including payment processors, hosting providers, domain registrars, mapping services, analytics providers, booking platforms, social networks, fonts, APIs, or other integrations.
Third-party services are governed by their own terms, policies, pricing, availability, and technical requirements. Orvanto does not control third-party services and cannot guarantee that they will remain available or unchanged.
Unless expressly included in a product description or custom quote, customers are responsible for third-party subscriptions, licenses, domain registrations, hosting charges, transaction fees, or other external costs associated with their website.
Suspension and Termination
Orvanto may suspend, restrict, or terminate access to Services when reasonably necessary because of a material violation of these Terms, suspected fraud, security threats, unlawful conduct, nonpayment, abuse of the Services, or legal requirements.
Termination of an account does not automatically eliminate payment obligations, intellectual-property restrictions, license restrictions, or other provisions that by their nature should continue after termination.
Disclaimers
To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Orvanto does not guarantee that the Services will always be uninterrupted, error-free, compatible with every third-party service, or free from all security vulnerabilities.
Website performance, search-engine rankings, sales, traffic, conversions, revenue, business results, and other outcomes depend on numerous factors outside Orvanto's control. Unless expressly agreed in writing, Orvanto does not guarantee specific business or marketing results.
Limitation of Liability
To the maximum extent permitted by applicable law, Orvanto will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Services.
To the maximum extent permitted by applicable law, Orvanto's aggregate liability for a claim arising from a particular purchase or paid service will not exceed the amount paid to Orvanto for the product or service giving rise to that claim.
Some jurisdictions do not allow certain exclusions or limitations of liability. Where such restrictions apply, these provisions apply only to the extent permitted by law.
Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, and reasonable costs arising from materials you provide to Orvanto, your unlawful misuse of the Services, or your material violation of these Terms or applicable license restrictions.
Changes to These Terms
Orvanto may update these Terms as the Services, business practices, or legal requirements change.
When the Terms are updated, the "Last updated" date displayed on this page will be revised. Where required by applicable law, additional notice or consent will be provided.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
